1. Acceptance of Terms
Welcome to KINVEST GUIDANCE LLC ("we," "us"). By accessing kinvestguidance.com, creating an account, or using The KIN App (together, the "Services"), you agree to be bound by these Terms of Service. If you don't agree, please don't use the Services.
2. What The KIN App Is
The KIN App is a directory, marketplace, and set of growth tools for independent and Black-owned businesses. Customers can discover businesses, check in, react to and review them, browse and buy from the Marketplace, and find and RSVP to community events. Business owners can claim or register a listing, manage their profile, list items for sale, post community events, and access analytics and growth tools depending on their plan. Not every feature described in these Terms is available to every user at all times — some (currently the Marketplace and The Exchange) are still being rolled out and may be limited to certain accounts or unavailable while that rollout finishes; the rest of these Terms still govern how each feature works once it's available to you.
3. Accounts
You must provide accurate information when creating an account and keep it up to date. You're responsible for activity that happens under your account. Let us know right away at the contact below if you believe your account has been compromised.
4. Business Listings
If you register or claim a business on The KIN App, you're representing that you're authorized to do so and that the information you provide (name, address, contact details, category, description, photos) is accurate. We may remove or edit a listing that's inaccurate, fraudulent, or violates these Terms.
5. Business Verification
Business owner status — including the Marketplace listing allowance described below — is granted through our business verification process, which confirms Black-owned business status and a physical business address. Verification unlocks certain in-app privileges but is not a guarantee of a business's legitimacy, quality, or performance beyond the verification criteria we apply.
6. Marketplace
Marketplace items are listed and sold by individual businesses and independent sellers, not by us. We facilitate the transaction and payment processing (via Stripe) but are not the seller of record. Pricing, fulfillment (pickup, delivery, or shipping), and item accuracy are the responsibility of whoever lists the item. Disputes about an order should first be raised directly with the seller; we may assist but are not a guarantor of any transaction.
Anyone can browse the Marketplace. Listing an item requires an eligible account:
- Listings sit in fixed categories (e.g. Art, Candles, Apparel, Food, Beauty, Home Goods) chosen at the time of listing, not free-text.
- Verified business owners get a free listing allowance on the free tier, which increases at higher paid tiers.
- Independent sellers — accounts without a verified physical business — get no free listings and must be on a paid tier to list items. Once on a paid tier, an independent seller's listing cap matches a verified business owner's at that same tier.
7. Community Events
Posting a community event is free and open to every account tier — no subscription or business verification required. Every submitted event is reviewed and must be approved before it appears publicly, and may be removed at any time for violating these Terms.
The address you enter for an event is what gets geotagged and pinned — not your profile location. Events default to "Local" visibility, scoped to that geotagged location, and you can switch a listing to "National" for broader reach. You may attach photos or video and may optionally use the AI marketing tool described below. We don't guarantee an event's accuracy, occurrence, attendance, or turnout, and we're not responsible for events that are canceled, rescheduled, or misrepresented by their organizer.
8. AI-Generated Marketing Content
The optional AI tool for generating or enhancing event marketing material (posters, flyers, and similar) is available to every user regardless of subscription tier, limited to 3 generations per user per month. This limit resets monthly and isn't affected by subscription tier or any add-on purchase. Manually uploaded photos or video never count against it; generating a new image from a prompt and using AI to enhance an image you already uploaded each count as one generation. AI-generated content can be inaccurate — you're responsible for reviewing it before you use or publish it.
9. Featured Event Placement
Large-scale events (expos, trade shows, and similar) can apply for featured placement, which gives an event broader promotional visibility than standard community event posting. Featured placement is granted through an application and approval process — it isn't available to self-select or purchase directly. If approved, we automatically generate an invoice reflecting the rate in effect at the time of approval. Organizers who don't have a KIN App account can request featured placement through a separate contact channel. Regular, free community event posting never involves an invoice.
10. KINDEX Score
The KIN App maintains a reputation metric, the KINDEX Score, for every account — customer and business owner alike. Completing a community event — meaning its scheduled date passes without the event being canceled — credits the organizing account's KINDEX Score. We may modify, recalibrate, or discontinue the KINDEX Score methodology, or the KINDEX Score program itself, at any time. The KINDEX Score isn't a guarantee of quality, reliability, or business performance and shouldn't be solely relied on by any third party.
11. Subscriptions, Billing & Free Trials
Paid business tiers (Founder, Founding Local, Premium Local, Elite) are billed monthly or annually and renew automatically until canceled. Every paid tier offers a 14-day free trial; no card is charged during the trial, and you can convert to a paid subscription at any point during it. If you don't convert before the trial ends, your account automatically reverts to the free Community tier — you're never charged without taking an affirmative action to subscribe. You can cancel any active subscription at any time from within the app, effective at the end of the current billing period.
All prices — subscription tiers, Marketplace access, and featured event placement — are subject to change at any time. If you're an existing subscriber, you keep your current price for the rest of your current billing term even if list price changes; new pricing applies starting at your next renewal. If you cancel a subscription and later resubscribe, you're charged whatever the price is at that time, not your prior rate.
12. User Content
You retain ownership of content you post (reviews, photos, listings, event details), but you grant us a license to display, distribute, and use that content to operate and promote the Services. You're responsible for making sure you have the right to post what you post, and for keeping it accurate and not misleading.
13. Prohibited Conduct & Reporting
Don't use the Services to post false or fraudulent listings or events, harass other users, misrepresent a business you don't own or represent, or attempt to circumvent our payment or verification systems.
If you come across a listing, event, or piece of content that violates these Terms — spam or a scam, inappropriate content, a prohibited or unsafe item, harassment or abuse, or anything else — you can report it from within the app. Reporting something doesn't automatically remove it or take action against an account; every report is reviewed by our team, who make the final call on any resulting removal or account action.
14. Intellectual Property
The KIN name, branding, app, and website — apart from content users post themselves — are the property of KINVEST GUIDANCE LLC. You may not copy, reuse, or redistribute our branding or platform without written permission.
15. Disclaimers & Limitation of Liability
The Services are provided "as is." We don't guarantee uninterrupted or error-free operation, and we're not liable for the accuracy of business listings or events, the quality of goods or services sold through the Marketplace, or indirect, incidental, or consequential damages arising from your use of the Services, to the fullest extent permitted by law.
16. Termination
We may suspend or terminate an account that violates these Terms or misuses the Services. You may stop using the Services and delete your account at any time.
17. Changes to These Terms
We may update these Terms as the Services evolve. We'll update the effective date above and, for material changes, notify users through the app or by email.
18. Governing Law
These Terms and your use of the Services are governed by the laws of the State of Texas.
